PROXY STATEMENT
ANNUAL MEETING OF MEMBERS
January 17, 2025
This proxy statement is being furnished to the members of USTC Alumni Association in Greater New York (hereafter “USTC-AAGNY”) in connection with the solicitation by and on behalf of its board of directors (the “Board”) of proxies for use at the Annual Meeting of Members. The Annual Meeting of Members will be held on February 9, 2025 at Yale Club. This proxy statement contains information about the matters to be considered at the meeting or any adjournments or postponements of the meeting. This notice and proxy statement is first being sent to members on or about February 9, 2025.
ABOUT THE MEETING
What is being considered at the meeting?
You will be voting on the following:
- election of three Class B directors; and
- any other matters that properly come before the meeting.
Class B directors will serve a three-year term until 2028 Annual Meeting of Members. Current Class A and Class C directors’ terms will end at 2027 and 2026 Annual Meetings of Members, respectively.
Who is entitled to vote at the meeting?
You are eligible to vote if you have been a member of record on or before February 8, 2024 (12:00 a.m. EST). Each member is entitled to one vote.
Who is eligible to be elected to the Board of Directors?
Only members of record on or before February 8, 2024 can be elected to the Board of Directors.
How do I vote?
You can vote in four ways:
- by attending the meeting in person and voting at the meeting;
- by authorizing someone to vote at the meeting on your behalf;
- by completing, signing and returning the paper ballot to the President before the closing of the voting process at the meeting; or
- by the Internet at http://ustcaagny.org/ballot-form/.
PROPOSAL – ELECTION OF DIRECTORS
The By-Laws of USTC-AAGNY provides for a Board of Directors consisting of at least 5 but no more than 15 directors. The Board now consists of 10 directors, each intending to serve on the Board until the end of their respective terms and his or her successor is duly elected and qualified. They are:
- Class A directors serving until the 2027 Annual Meeting of Members:

- Class B directors serving until the 2025 Annual Meeting of Members:
- Dingju (Steve) Chen (7701)
- Zhidong (Tom) Wu (8101)
- Ke (Rick) Li (92SHAO)
- Class C directors serving until the 2026 Annual Meeting of Members:
- Yunson Du (8307)
- Hong Ni (8703)
- Bihui (Hilda) Ye (8308)
- Jingjiang Peng (01SHAO)
All directors serve on voluntary basis and will receive no compensation for their work for USTC-AAGNY. The Board has no reason to believe that any of the directors and nominees will be unavailable or, for nominees, if elected, will decline to serve. Further, the Board of Director of USTC-AAGNY recognizes and is grateful for the efforts and contributions of above directors in the past year.
The current term of Class B directors ends at the 2025 Annual Meeting of the Members, Zhidong (Tom) Wu decided not to seek for reelection. The Board of Directors hereby nominates the following candidates for the Class B directors serving a three-year term until the 2028 Annual Meeting of Members:

Steve Chen (7701)
Steve Chen studied Mathematics at USTC from 1977 to 1982. After graduation, he spent three years at the Institute of System Sciences of the Chinese Academy in Beijing. From 1985, he studied at Cornell University, obtaining a master’s degree in computer sciences in 1988 and a Ph.D. in applied mathematics in 1991. He has over 20 years of experience on wall street, working as a quantitative equity strategist with Lehman Brothers, Credit Suisse, and recently Bank of America Securities. He is currently a managing director and the US regional head of equity Quantitative Strategist Group in the Global Banking and Markets division, developing pricing models, trading strategies, and data analytics for the global equity business.
Joy Zhang (813/8112)
Joy Zhang is a Managing Director, the Head of Securitized Products Solutions Research at MSCI, leading a team that develops solutions for global Securitized Products investors, including valuation and factor models, investment analysis tools, risk analytics, methodologies for climate and physical risk disclosure for Securitized Products.
Previously, Joy worked at Credit Suisse, responsible for mortgage collateral modelling and regulatory modelling (CCAR and PPNR) for the Securitized Products trading desk and Goldman Sachs, responsible for developing a firm-wide risk management system.
Joy is actively involved in professional organization within the financial industry and is passionate about serving the community. She is currently the president of The Chinese Finance Association (TCFA) and deputy regional director of Professional Risk Managers’ International Association (PRMIA) New York chapter.
She received Ph.D. in Chemistry from University of Kansas in 1994 and B.S. in Chemistry from University of Science and Technology of China in 1986. Additionally, she earned an M.S. in Computational Finance from Carnegie Mellon University in 2006.
Ke (Rick) Li (92SHAO)
Rick Li is a partner in the Global Banking and Markets (GBM) division at Goldman Sachs. He serves on the GBM Investment Committee and the GBM Public Risk Committee. He is the global head of FICC Desk Strats, overseeing quantitative strategies, modeling, and analytics for the FICC businesses within GBM.
Previously, Rick led several strats teams in FICC, including Global Commodities, Emerging Markets, Global Credit, and Principal Funding and Investments Strats. He joined Goldman Sachs in 2005, was named managing director in 2010, and became a partner in 2018.
Rick holds a BS in Mathematics and Physics from the University of Science and Technology of China and a PhD in Physics from Yale University.
Rick has been very active in USTC alumni events. He served as a speaker and panel moderator in a number of USTCAAGNY summit conferences, including being one of the keynote speakers at the first summit in 2014. He also sponsored several alumni reception events hosted by the association and mentored young alumni inside and outside of his company.
MISCELLANEOUS INFORMATION
As of the date of this Proxy Statement, the Board of Directors is not aware of any business other than that specified above to come before the meeting, but, if any other business does lawfully come before the meeting, it is the intention of the persons named in the enclosed Proxy to vote in regard thereto in accordance with their judgment.
